2026-932026-93 Resolution Authorizing Town Supervisor To Enter Into Letter of Intent To Purchase 326 Acres Of Land, At a Regular Meeting of the Town Board of the Town of Wappinger, Dutchess County, New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on March 23, 2026. The meeting was called to order by Joseph D. WHEREAS, Wappingers RE LLC owns 326.34 acres of vacant land as shown on the Town of Wappinger Tax Map as 135689-6158-04-951582 (the "Premises") and the Town of Wappinger has negotiated for the purchase of the Premises by the Town for Two Million Seven Hundred Thousand Dollars; and WHEREAS, the Town Board wishes to authorize the purchase of the Premises for Town purposes, pursuant to and in accordance with the provisions of Section 220 of the Town Law of the State of New York, subject to the permissive referendum requirements of Town law Sections 90 and 91; and WHEREAS, the Town Board wishes to authorize Town Supervisor Joseph D. Cavaccini to sign a letter of intent for the purchase, which includes a downpayment in the amount of one hundred and thirty five thousand dollars ($135,000), with contingencies for (i) compliance with said permissive referendum requirements, (ii) clean title, and (iii) all standard vacant land contract provisions to be incorporated into a contract upon the finalizing of any grant funding for the Premises; and WHEREAS, the Town Board further authorizes Town Supervisor Joseph D. Cavaccini to apply for any and all grants that may pertain to the purchase and use of the Premises for Town purposes. NOW, THEREFORE, BE IT RESOLVED, that the Town Board of the Town of Wappinger hereby authorizes the purchase of the premises and the entering into a letter of intent for such purchase subject to the contingencies noted above, with a formal contract to be entered upon completion of any necessary requirements in obtaining grant funding; and BE IT FURTHER RESOLVED, that Town Supervisor Joseph D. Cavaccini is authorized to solicit bids and otherwise contract for the performance of such tests, reports and investigations as may be deemed necessary and prudent in order to determine the suitability of the Premises, with our without renovations, for one or more Town purposes, subject to compliance with the Town's Procurement policies and as otherwise required by law; and BE IT FURTHER RESOLVED, that, pursuant to Town Law Sections 90 and 91, within ten (10) days after the effective date of this Resolution, the Town Clerk, shall post and publish a notice in the same manner as provided for notice of a special election, which shall (i) set forth the date of adoption of this resolution; (ii) contain an abstract of this resolution concisely setting forth the purpose and effect thereof, (iii) specify that this resolution was adopted subject to permissive referendum; and (iv) publish such notice in the official Town newspaper having general circulation in the Town, and the Town Clerk shall also post or cause to be posted on the sign board of the Town a copy of such notice.
